1. Acceptance of Terms
By accessing or using Ordenado's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
2. Service Description
Ordenado is a restaurant technology platform that provides:
- A directory and hub for discovering Latino restaurants
- Links to external ordering platforms (DoorDash, Uber Eats, Grubhub, etc.)
- B2B services for restaurant owners including virtual brands, order aggregation, and management tools
Ordenado is not a food ordering platform. All orders are completed on external partner platforms.
3. Eligibility and Account Registration
To use certain features of Ordenado, you may need to create an account. You must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your account credentials secure and confidential
- Be responsible for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
4. User Responsibilities
As a user of Ordenado, you agree to:
- Provide accurate and complete information when using our services
- Not misuse or abuse our platform or services
- Comply with all applicable laws and regulations
- Not use automated systems or software to extract data from our services
- Not interfere with or disrupt our services or servers
- Respect the terms of service of external ordering platforms
5. SMS and Electronic Communications
Consent to Receive SMS Messages
By providing your mobile phone number to Ordenado, you expressly consent to receive SMS text messages from us. These messages may include:
- Account verification and authentication codes
- Service notifications and important updates
- Transactional confirmations (for restaurant partners)
- Marketing communications (only with your explicit consent)
Message Frequency and Charges
Message frequency varies but typically does not exceed 4 messages per month. Message and data rates may apply from your mobile carrier. You are responsible for any charges from your carrier. Carriers are not liable for delayed or undelivered messages.
Opting Out of SMS Messages
You can opt-out of receiving SMS messages at any time by:
- Text STOP: Reply STOP to any SMS message from Ordenado to unsubscribe immediately
- Text HELP: Reply HELP for customer support information
- Account Settings: Manage your SMS preferences in your account settings
Opting out is free and immediate. After opting out, you may still receive transactional messages necessary for account security or service delivery.
Electronic Communications Consent
By using Ordenado, you consent to receive electronic communications from us, including emails and SMS messages. These communications are part of your relationship with us, and you may not be able to opt out of certain service-related communications.
6. Restaurant Owner Services
B2B Services
For restaurant owners using our B2B services, additional terms apply. Our B2B services include:
- Virtual brand management and menu creation
- Order aggregation across multiple delivery platforms
- Restaurant management tools and analytics
- Payment processing and financial services
Payment Terms
Restaurant partners agree to pay all applicable fees as outlined in their service agreement. Payment terms, pricing, commission structures, and billing cycles are detailed in your specific contract. We reserve the right to modify pricing with reasonable notice.
Service Agreements and Contracts
Restaurant partners will receive detailed service agreements that outline specific terms, service level agreements, support commitments, and cancellation policies. These agreements supplement and form part of these Terms of Service.
7. Intellectual Property
All content on Ordenado, including text, graphics, logos, and software, is the property of Ordenado Inc. or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.
8. Third-Party Services
Ordenado provides links to third-party ordering platforms (DoorDash, Uber Eats, Grubhub, etc.). We are not responsible for the content, policies, or practices of these external services. Your use of third-party services is governed by their respective terms of service. We do not endorse or guarantee any products or services offered through third-party platforms.
9. Disclaimers and Limitation of Liability
Service "As Is"
Ordenado is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure.
Limitation of Liability
To the maximum extent permitted by law, Ordenado Inc. shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use our services
- Any unauthorized access to or use of our servers and/or any personal information stored therein
- Any interruption or cessation of transmission to or from our services
- Any bugs, viruses, or the like that may be transmitted through our services by any third party
- Orders placed through third-party platforms, including food quality, delivery times, or order fulfillment
10. Indemnification
You agree to indemnify, defend, and hold harmless Ordenado Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another party.
11. Termination
We reserve the right to suspend or terminate your account and access to our services at any time, without notice, for conduct that we believe:
- Violates these Terms of Service
- Is harmful to other users, third parties, or our business interests
- Violates applicable law or regulation
- Involves fraudulent or illegal activity
Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

14. Changes to Terms
We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of Ordenado after changes are posted constitutes your acceptance of the revised terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
